1. Agreement to Terms

Welcome to loqd. These Terms of Service ("Terms") govern your access to and use of the loqd mobile application and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Our Services

loqd is a couples-only mobile application designed to enhance communication, connection, and relationship health between partners. Our features include, but are not limited to:

  • End-to-end encrypted messaging
  • Mood sharing and updates
  • Shared tasks and to-do lists
  • Relationship games and quizzes
  • Memory timeline creation
  • loqd Score relationship health metric
  • Multiple visual themes
  • Biometric authentication
  • Secure messaging with AWS-backed security

We are constantly evolving and improving our Service, and we may add or remove features, or suspend or terminate certain aspects of our Service at our sole discretion without notice or liability.

2.1 Service Availability

While we make our best efforts to ensure that our Service is available at all times, we do not guarantee that our Service will be available, uninterrupted, or error-free. We may temporarily suspend the Service for maintenance, updates, or other reasons.

2.2 Future Features

Any descriptions of upcoming features, such as AI integration or music sync, represent our current intentions and are not binding commitments. The development, release, and timing of any features or functionality remains at our sole discretion.

3. Eligibility

By using the Service, you represent and warrant that:

  • You are at least 18 years of age
  • You are legally capable of entering into a binding agreement
  • You are not barred from using the Service under the laws of your jurisdiction
  • Your use of the Service does not violate any applicable law or regulation

The Service is intended for use by adults in a relationship. By accessing or using our Service, you confirm that you are in a consensual relationship with your partner and that you both agree to connect through the loqd app.

4. User Accounts

4.1 Account Creation and Security

To use most features of the Service, you must create an account. When you create an account, you must provide accurate and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

  • Create only one account per person
  • Not share your account with anyone else
  • Keep your account password secure
  • Immediately notify us of any unauthorized use of your account

4.2 Partner Connections

The loqd app is designed for couples. You may only connect with one partner at a time. You must have consent from your partner before sending a connection request. We reserve the right to monitor and restrict account connections to prevent misuse of the Service.

4.3 Account Information

You can update your account information at any time through the app settings. We may retain certain information as required by law or for legitimate business purposes. We may also retain cached or archived copies of your information for a certain period of time.

5. User Content

5.1 Content Ownership

You retain all rights to the content you create, upload, or share through our Service ("User Content"). By submitting User Content to the Service, you grant loqd a non-exclusive, worldwide, royalty-free license to use, copy, modify, and display your User Content solely for the purpose of operating and improving the Service.

5.2 Content Responsibility

You are solely responsible for the User Content you submit through the Service. You represent and warrant that:

  • You own or have the necessary rights to the User Content you submit
  • Your User Content does not infringe upon the intellectual property rights of any third party
  • Your User Content complies with these Terms and all applicable laws

5.3 Content Restrictions

You agree not to submit User Content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, or invasive of privacy
  • Constitutes or encourages conduct that would be considered a criminal offense
  • Infringes upon any patent, trademark, trade secret, copyright, or other intellectual property right
  • Contains software viruses or any other computer code designed to interfere with the functionality of the Service
  • Impersonates any person or entity, or falsely states or misrepresents your affiliation with a person or entity

We reserve the right to review, remove, or modify User Content at our sole discretion if we believe it violates these Terms or may cause harm to the Service or our users.

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Using the Service for any illegal purpose or in violation of any local, state, national, or international law
  • Harassing, threatening, or intimidating other users
  • Impersonating another person or creating multiple accounts
  • Attempting to obtain another user's password or account information
  • Using the Service in any manner that could disable, overburden, damage, or impair the Service
  • Attempting to gain unauthorized access to the Service, other accounts, or computer systems through hacking, password mining, or any other means
  • Reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code of the Service
  • Removing any copyright, trademark, or other proprietary notices from the Service
  • Using the Service for data mining, extracting, or scraping
  • Using the Service to send spam, chain letters, or other unsolicited communications
  • Using the Service for any commercial purpose without our prior written consent

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these provisions, including terminating their account and reporting them to law enforcement authorities.

7. Subscriptions and Billing

7.1 Paid Subscriptions

loqd offers subscription plans to access premium features of the Service. By subscribing to a paid plan, you agree to pay the subscription fees indicated at the time of purchase, plus any applicable taxes.

7.2 Billing Cycle

Your subscription will automatically renew at the end of each billing period (either monthly or yearly, depending on your chosen plan) unless you cancel it before the renewal date. You authorize us to charge the payment method on file for the subscription fees at the beginning of each billing period.

7.3 Price Changes

We may change the price of subscriptions from time to time. Any price changes will take effect at the start of the next subscription period. We will notify you of any price changes before they take effect.

7.4 Payment Methods

Payment for subscriptions is processed through third-party payment processors such as Apple App Store or Google Play Store. These platforms handle your payment information according to their own privacy policies and terms of service.

7.5 Cancellation

You can cancel your subscription at any time through your app store account settings. Cancellation will take effect at the end of your current billing period. Upon cancellation, you will not receive a refund for any remaining portion of your current billing period.

8. Refund Policy

All purchases are final and non-refundable, except as required by applicable law. If you believe you are entitled to a refund due to exceptional circumstances, please contact our support team at support@loqd.app with your order details and the reason for your refund request.

If technical issues prevent you from accessing the services you paid for, we will work with you to resolve the issue or provide a credit to your account at our discretion.

For any subscription purchased through the Apple App Store or Google Play Store, refund requests must be submitted through those platforms according to their respective policies.

9. Termination

9.1 Termination by You

You may terminate your account at any time by following the instructions in the app settings or by contacting us at support@loqd.app. Upon termination, you will lose access to the Service, and we will delete your account information in accordance with our Privacy Policy.

9.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Causes for termination may include, but are not limited to:

  • Violation of these Terms
  • Suspected illegal, fraudulent, or abusive activity
  • Extended periods of inactivity
  • Requests by law enforcement or other government agencies

9.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. The following provisions will survive termination: Content Ownership, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LOQD AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

LOQD MAKES NO WARRANTY THAT:

  • THE SERVICE WILL MEET YOUR REQUIREMENTS
  • THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE
  • THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS

LOQD IS NOT A PROFESSIONAL COUNSELING, THERAPY, OR HEALTH CARE SERVICE. THE SERVICE IS NOT INTENDED TO BE A SUBSTITUTE FOR PROFESSIONAL ADVICE, DIAGNOSIS, OR TREATMENT. ALWAYS SEEK THE ADVICE OF YOUR QUALIFIED HEALTH PROVIDER WITH ANY QUESTIONS YOU MAY HAVE REGARDING YOUR RELATIONSHIP OR MENTAL HEALTH.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOQD, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICE.

IN NO CASE SHALL LOQD'S LIABILITY EXCEED THE AMOUNT THAT YOU PAID TO LOQD FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

THE LIMITATIONS OF LIABILITY IN THIS SECTION WILL APPLY EVEN IF LOQD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify, and hold harmless loqd, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your User Content
  • Your use of the Service
  • Your violation of any third party right

13. Governing Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.

If you are accessing the Service from outside the United States, you are responsible for compliance with local laws and regulations.

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email, through the Service, or by presenting you with a new version of these Terms for you to accept. If you do not agree to the modified terms, you should discontinue your use of the Service.

Your continued use of the Service after the effective date of the modified Terms constitutes your acceptance of the modified Terms.
